These Terms and Conditions (“Terms”) govern the services provided by ten Hoor Consulting a consulting firm (“Consultant,” “we,” “us,” or “our”), to the client (“Client,” “you,” or “your”). By engaging our services, you agree to be bound by these Terms.
1. Services Provided
We offer consulting services including but not limited to [list key services, e.g., business strategy, financial planning, marketing consulting, etc.]. Specific deliverables and timelines will be outlined in a separate Service Agreement or Statement of Work (SOW).
2. Engagement and Fees
2.1. Scope of Work
The scope of services will be defined in a written agreement. Any additional work beyond the original scope may incur additional fees.
2.2. Fees and Payment Terms
Fees are set out in the proposal or agreement. Payments are due within 7 days of invoice issuance. Late payments may incur interest at 2% per month.
2.3. Retainers (if applicable)
A retainer of € 10.000,00 is required before services commence. This retainer will be applied to the final invoice or refunded as applicable.
3. Client Responsibilities
You agree to provide all necessary information and access required for us to perform our services. Failure to do so may result in delays or additional charges.
4. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement, except where disclosure is required by law or agreed in writing.
5. Intellectual Property
Unless otherwise agreed in writing:
- All pre-existing intellectual property of the Consultant remains ours.
- Any work product created specifically for the Client will become the property of the Client upon full payment.
6. Limitation of Liability
To the fullest extent permitted by law, the Consultant shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data.
Our total liability for any claim under these Terms is limited to the total fees paid by the Client for the services giving rise to the claim.
7. Termination
Either party may terminate the engagement with 14 days’ written notice. Upon termination, the Client agrees to pay for all services rendered and expenses incurred up to the termination date.
8. Independent Contractor
We act as an independent contractor. Nothing in this agreement shall be construed as creating a partnership, joint venture, or employer-employee relationship.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of The Netherlands. Any disputes shall be resolved in the courts of The Hague.
10. Amendments
We reserve the right to update or modify these Terms at any time, with notice provided to existing clients. Continued use of our services constitutes acceptance of the revised Terms.
11. Entire Agreement
These Terms, along with any proposal or service agreement, constitute the entire agreement between the parties and supersede any prior understandings or agreements.

Deze algemene voorwaarden (“Voorwaarden”) zijn van toepassing op alle diensten geleverd door ten Hoor Consulting, gevestigd te Voorburg, ingeschreven bij de Kamer van Koophandel onder nummer 27285005 (“Consultant”, “wij”, “ons”), aan haar klanten (“Klant”, “u”, “uw”).
Door het gebruik van onze diensten gaat u akkoord met deze voorwaarden.
1. Diensten
Wij bieden adviesdiensten aan op het gebied van onder andere [bijv. bedrijfsstrategie, marketingadvies, financieel management]. De specifieke omvang en aard van de werkzaamheden worden vastgelegd in een aparte opdrachtbevestiging of overeenkomst.
2. Honorarium en Betaling
2.1 Tarieven
Onze tarieven worden vermeld in de offerte of opdrachtbevestiging. Alle bedragen zijn exclusief btw tenzij anders vermeld.
2.2 Betaling
Facturen dienen binnen 7 dagen na factuurdatum te worden voldaan. Bij niet-tijdige betaling behouden wij ons het recht voor wettelijke rente en incassokosten in rekening te brengen.
2.3 Voorschot
Voor aanvang van de werkzaamheden kan een voorschot worden gevraagd. De werkzaamheden beginnen pas na ontvangst van dit bedrag.
3. Verantwoordelijkheden van de Klant
De Klant verplicht zich om tijdig alle relevante informatie, materialen en toegang te verschaffen die nodig zijn voor de uitvoering van de opdracht. Vertraging of tekortkomingen hierin kunnen leiden tot uitstel van deadlines of extra kosten.
4. Geheimhouding
Beide partijen verplichten zich tot geheimhouding van alle vertrouwelijke informatie die in het kader van de opdracht wordt gedeeld, tenzij openbaarmaking wettelijk verplicht is of schriftelijk is overeengekomen.
5. Intellectueel Eigendom
Tenzij schriftelijk anders overeengekomen:
- Blijven alle rechten op eerder bestaand materiaal bij de Consultant.
- Worden resultaten specifiek ontwikkeld voor de Klant diens eigendom na volledige betaling.
6. Aansprakelijkheid
Onze aansprakelijkheid is beperkt tot het bedrag dat in het betreffende geval door onze aansprakelijkheidsverzekering wordt uitgekeerd, of bij ontbreken daarvan tot het totaalbedrag van de facturen voor de betreffende opdracht.
Wij zijn niet aansprakelijk voor indirecte schade zoals gevolgschade, gederfde winst of reputatieschade.
7. Opzegging en Annulering
Beide partijen kunnen de samenwerking schriftelijk beëindigen met een opzegtermijn van 14 dagen, tenzij anders overeengekomen. De Klant is verplicht om de tot dan toe verrichte werkzaamheden en gemaakte kosten te vergoeden.
8. Privacy en AVG (GDPR)
Wij verwerken persoonsgegevens in overeenstemming met de Algemene Verordening Gegevensbescherming (AVG). Voor meer informatie verwijzen wij naar onze privacyverklaring.
9. Toepasselijk Recht en Geschillen
Op deze Voorwaarden is Nederlands recht van toepassing. Geschillen worden bij voorkeur in onderling overleg opgelost. Indien dit niet mogelijk is, zullen geschillen worden voorgelegd aan de bevoegde rechter te ‘s-Gravenhage.
10. Wijzigingen Voorwaarden
Wij behouden ons het recht voor deze voorwaarden te wijzigen. De gewijzigde voorwaarden worden tijdig gecommuniceerd en zijn van toepassing op nieuwe opdrachten.
11. Slotbepalingen
Indien één of meerdere bepalingen in deze Voorwaarden nietig of vernietigbaar zijn, blijven de overige bepalingen volledig van kracht. Partijen zullen in overleg treden om een nieuwe bepaling vast te stellen die de oorspronkelijke bedoeling zoveel mogelijk benadert.
